OFFER TO CONCLUDE A LICENSE AGREEMENT (PUBLIC OFFER)

Individual Entrepreneur Beketov Evgeniy Dmitrievich, OGRNIP 318385000051269, INN 385100465424 (the Right Holder), hereby offers any legally capable individual, individual entrepreneur, or legal entity (the Licensee) to conclude a license agreement on the terms of this public offer (the Agreement).
1. General Provisions. Acceptance of the Offer
- This Offer is a public offer within the meaning of Clause 2 of Article 437 of the Civil Code of the Russian Federation and becomes effective upon publication at: https://logistack.net/en/docs/offer/.
- The Agreement is an adhesion contract. The Licensee accepts the terms of the Agreement as a whole, without any exceptions.

Acceptance of the Offer means the performance by the Licensee of one or more of the following actions:
- registration of a Personal Account and starting to use the Service (including during the Demo Period);
- payment for a Subscription / Plan (for the first or subsequent period);
- activation of Auto-Renewal and confirmation of a linked payment method (if provided on the payment page / in the payment interface).
- Acceptance means the Licensee's full and unconditional agreement with the terms of the Agreement.
- The Agreement shall be deemed concluded in written form under a simplified procedure for a simple (non-exclusive) license for a computer program.
- The place of conclusion of the Agreement shall be deemed to be Yekaterinburg.
2. Terms
- Service means the computer program / web application "Logistack", available on the Internet at https://logistack.net, intended for generating calculations for placement / packaging / packing of objects (cargo units and/or other objects) in a specified space and related functions.
- Personal Account means the interface of the Service accessible after registration / authorization.
- Subscription (Plan) means the right to use the Service under a simple (non-exclusive) license for a certain period and with certain limits / functions selected by the Licensee.
- Subscription Period means the calendar period (month / year / other) for which the Subscription has been paid.
- Organization User (Employee) means a person to whom the Licensee has granted access to the Service within the Personal Account and the selected Plan (where such functionality is available).
- Calculation means the result generated by the Service (including layouts, recommendations, placements, reports) on the basis of data entered by the Licensee.
3. Subject Matter of the Agreement
- The Right Holder grants the Licensee the right to use the Service under a simple (non-exclusive) license by means of remote access via the Internet within the selected Plan and the paid Subscription Period.
- The Licensee undertakes to comply with the terms of the Agreement and pay for the Subscription.
- Exclusive rights to the Service, its elements, and updates are not transferred to the Licensee.
4. Registration. Access. Organization Users
- To use the Service, the Licensee creates a Personal Account and provides accurate contact details (e-mail and/or other means of communication).
- The Licensee is responsible for safeguarding authorization credentials and for all actions performed in the Personal Account.
- If the Plan provides for Organization Users, the Licensee may add / remove Organization Users within the limits of the selected Plan.
- It is prohibited to transfer authorization data to third parties outside the Licensee's organization, circumvent Plan restrictions, or use the Service in a way intended to bypass technical limitations.
- Actions of Organization Users shall be deemed actions of the Licensee.
5. Procedure for Providing the Subscription

The Subscription is activated:
- from the moment payment is confirmed by the payment partner and/or funds are received by the Right Holder (depending on the payment method and payment flow); or
- from another moment specified on the payment page / in the Personal Account (for example, from the moment of first authorization).
- A technical delay in activation / update of Subscription status is permitted, but not exceeding 1 (one) business day.
- The Plan terms do not change during the paid Subscription Period. Changes apply to new payments / renewals.
6. Demo Period
- The Right Holder provides the Licensee with a free demo period on the terms specified in the Service / Personal Account (term, available functionality, limits).
- During the demo period, linking a bank card is not required and no automatic charge is made.
- Upon expiry of the demo period, access to paid functionality shall terminate until the Licensee selects a Plan and pays for the Subscription.
7. Auto-Renewal and Recurring Payments
- The Licensee may enable Auto-Renewal of the Subscription if such function is available.
- By enabling Auto-Renewal, the Licensee consents to periodic (recurring) payments for the Subscription without additional confirmation of each payment, in the amount of the cost of the selected Plan effective on the debit date, until Auto-Renewal is cancelled.
- Auto-Renewal means extension of the Subscription for the next Subscription Period by charging payment on the date determined by the Service and/or the payment partner.
- Cancellation of Auto-Renewal is performed in the Personal Account (or by another method specified in the Service). After cancellation of Auto-Renewal, the Subscription remains active until the end of the paid Period and is not renewed automatically.
- In the event of an unsuccessful charge / payment, the Right Holder may restrict access to paid functionality until payment is made.
8. Cost and Payment Procedure. Payment Methods. Receipts
- The cost of the Subscription is determined by the selected Plan and indicated on the payment page / in the Personal Account.
- Payment is made on a 100% prepayment basis for the relevant Subscription Period.
- Payment shall be made by cashless means, including bank cards, Faster Payments System (SBP), and other methods through payment partners (aggregators) and/or internet acquiring available on the payment page. The list of payment methods and partners may change.
- In cases provided by applicable law, the Right Holder shall send the Licensee an electronic cash register receipt by e-mail and/or by another method provided by Federal Law No. 54-FZ and the payment scheme.
- The payment date shall be the date of confirmation of the transaction by the payment partner and/or the date funds are credited to the Right Holder (depending on the payment method).
9. License Restrictions
- The Licensee may use the Service only within the selected Plan and the intended purpose of the Service.

The following is prohibited:
- copying, modifying, decompiling, or disassembling the Service, or attempting to obtain the source code;
- circumventing technical limitations, Plan limits, or protection mechanisms;
- transferring rights to use the Service to third parties (sublicense / resale / lease), unless expressly permitted by the Right Holder;
- using the Service in violation of the law or third-party rights.
10. Support. Operability. Updates
- Support channel: info@logistack.net and/or the request form in the Personal Account.
- The Right Holder may carry out preventive maintenance, updates, and technical work, which may result in temporary unavailability of the Service.
- The Right Holder may change and update Service functionality, while the terms of the paid Plan for the current Subscription Period remain unchanged.
11. Calculations (Packing). Data Entry. Limitation of Liability
- The Service provides the Licensee with the technical possibility to generate Calculations based on data and parameters entered by the Licensee.
- Calculation results are for informational and advisory purposes and depend on the completeness / accuracy of the source data, settings, assumptions and limitations of the algorithms, as well as real-life application conditions (packaging, securing, deformation, dynamic loads, human factor, transport / warehouse constraints, etc.).
- The Licensee must independently verify the correctness of the source data (dimensions, weight, tolerances, restrictions, center of gravity where necessary, and other parameters) and assess the applicability of Calculation results to its tasks, safety requirements, and applicable standards.
- The Right Holder does not guarantee the absence of errors in the Calculations or their compliance with the Licensee's expectations, and shall not be liable for consequences of the Licensee's and/or third parties' use of the Calculations, including property damage, downtime, claims by counterparties, and other indirect losses, unless otherwise provided by mandatory rules of law.
- The Service is not an engineering design, mandatory certification, or expert examination service; the Right Holder provides access to a software product.
12. Liability of the Parties
- The Service is provided on an "as is" basis. The Right Holder makes reasonable efforts to maintain the operability of the Service.
- The total pecuniary liability of the Right Holder under the Agreement is limited to the amount actually paid by the Licensee for the last paid Subscription Period preceding the claim.
- The Right Holder shall not be liable for indirect losses, including lost profits, loss of data / business information, or interruption of business, unless otherwise expressly provided by law.
- The Right Holder shall not be liable for unavailability of the Service caused by circumstances beyond the Right Holder's control (communication / hosting failures, DDoS, failures of payment partners, internet access restrictions, etc.).
13. Refunds
- The Licensee may submit a refund request based on a decision not to continue using the Service ("changed my mind") within 7 (seven) calendar days from the date of payment.

No refund under the preceding paragraph shall be made if:
- the Licensee generated Calculations in the Service; and/or
- the Licensee connected Organization Users (Employees); and/or
- the Licensee materially used the Service functionality (including consumption of Plan limits).
- If a refund is approved, the Right Holder may withhold actual expenses, including commissions of payment partners / banks.
- In the event of confirmed material unavailability of the Service due to the Right Holder's fault, the Right Holder may, at its discretion, extend the Subscription or make a partial refund in proportion to the period of unavailability.
14. Personal Data
- Personal data processing is carried out in accordance with the Personal Data Processing Policy: https://logistack.net/en/docs/privacy_policy/.
- For registration / use of the Service, the Licensee (if an individual) or the Licensee's authorized representative (if a legal entity / individual entrepreneur) confirms that they have reviewed the Policy and provided consent to personal data processing in the manner provided by the Service interface (for example, by a separate checkbox).
- If the Licensee connects Organization Users, the Licensee warrants that it has lawful grounds to transfer their data to the Right Holder and has informed such persons where required.
15. Amendments to the Offer and Plans
- The Right Holder may amend the terms of the Offer and the Plans by publishing a new version on the Site.
- Changes apply to new payments / renewals. Payment for the next Subscription Period means the Licensee agrees to the current version of the Offer.
16. Complaint Procedure and Disputes
- Claims shall be sent to: info@logistack.net. The response period is 10 (ten) business days from receipt.
- Disputes with legal entities and individual entrepreneurs shall be considered by the Arbitrazh Court of Sverdlovsk Oblast.
- Disputes with individuals shall be considered in accordance with the jurisdiction established by the laws of the Russian Federation.
17. Force Majeure
- The parties shall be released from liability for partial or complete non-performance of obligations in the event of force majeure (natural disasters, military actions, prohibitive acts, accidents, mass communication / Internet failures, etc.).
- If force majeure lasts more than 2 months, either party may refuse further performance of the Agreement without compensating the other party for possible losses.
